Songtrust® Registration Amendment –
Deferred Registration Fee Terms and Conditions
THIS PROGRAM HAS ENDED AND IS NO LONGER ACCEPTING APPLICATIONS AS OF 2023.
As of December 10, 2018
This Amendment supplements the Songtrust® User Agreement and terms and conditions (https://app.songtrust.com/static/documents/Songtrust_Terms_of_Service_Oct_6.pdf) (“Terms”), which you must accept (or have already accepted) in order for ST Music LLC (“Songtrust”) to agree to defer your registration fee for the Service on the terms below (“Amendment”). Unless defined herein, capitalized terms shall have the same meanings as defined in the Terms.
Please read the terms of this Amendment carefully and if you agree to them, please indicate your decision by clicking on "I agree to defer my registration fee and have it paid out of the royalties I earn." on the deferred signup fee page located at “https://www.songtrust.com/deferred-registration". If you do not agree to all the terms and conditions of this Amendment, please navigate away from the page.
- After you have agreed to the Terms, in order to defer your registration fee, you must upload and submit to Songtrust for administration via the Service the same composition(s) that you previously submitted to the Songtrust Estimation Tool (available on the Songtrust.com homepage or on the https://www.songtrust.com/estimate-your-streaming-royalties website) via the Site, and such composition(s) shall be deemed Composition(s) pursuant to the Terms.
- The following new paragraph shall be added as the final paragraph of the “SONGTRUST FEES” section of the Terms:
“Songtrust may defer the $100 Registration fee for your use of the Service (“Registration Fee”), subject to your Composition(s) meeting certain streaming and/or sales metrics as described on the Site, or otherwise in Songtrust’s sole discretion. If Songtrust agrees to defer your Registration Fee, Songtrust may charge you a processing fee of One Dollar ($1), and the balance of the Registration Fee will be fully recoupable against your share of Net Sums otherwise payable to you hereunder. In other words, your account will begin with a negative balance of -$99, after taking the $1 processing fee into account. Furthermore, if this agreement is terminated for any reason prior to Songtrust’s recoupment of the Registration Fee, Songtrust will be entitled to keep your account active and collect any resulting monies received by Songtrust until such Registration Fee is fully recouped by Songtrust.”
- You shall maintain the existence and substance of this Amendment in strictest confidence, and shall not disclose or make available the terms hereof, except as follows. You may disclose the terms of this Amendment to your accountant, manager, or other advisors who have a legitimate need to know such information and who agree to be bound by the confidentiality obligations in this Amendment and/or if required by law, governmental regulation, court order or other legal process. You acknowledge that this requirement is a material inducement for Songtrust’s entering into this Amendment and that any violation hereof by you or any employee or other person or entity to whom you disclose such information will be a material breach of the Terms and will cause Songtrust irreparable harm, entitling Songtrust to injunctive and other equitable relief to prevent or limit disclosure of its confidential information.
- The Terms as amended by this Amendment contain the entire understanding and agreement of the parties and supersede all prior and contemporaneous agreements between the parties with respect to the subject matter. This Amendment and the Terms may not be modified except in writing signed by both parties.
